China National Heavy Duty Truck and Weichai Subsidiary SASAC Take Over Weichai

The conflict between China National Heavy Duty Truck Group (Sinotruk) and Weichai Power finally came to an end. This long-standing dispute, which had been simmering for years, reached its peak at the end of 2005. At that time, Sinotruk held 100% of the equity in Weichai Diesel Engine Factory, while Weichai Factory was the major shareholder of Weichai Power, a Hong Kong-listed company. The situation created tension, as Weichai Factory wanted to break away from Sinotruk, while Sinotruk sought to maintain control to support its plan for a Hong Kong listing. On March 20, 2006, the Shandong State-owned Assets Supervision and Administration Commission (SASAC) issued a formal decision to transfer the entire equity of Weichai Factory from Sinotruk to direct state ownership. This move effectively ended the year-long battle over the ownership of Weichai Plant. Prior to this, Weichai Factory was indirectly controlled by Sinotruk, but now it became fully under the jurisdiction of the provincial SASAC. This restructuring was aimed at resolving conflicts between Sinotruk and Weichai Power, particularly in the heavy truck and diesel engine sectors. It also allowed both companies to pursue independent development strategies. Although the official announcement was made on March 20, sources indicated that the deal had been finalized earlier, during the Lunar New Year holiday in 2006, but remained confidential until then. According to insiders, the transfer of shares was a routine process within the state-owned asset management framework. No compensation was involved because both companies were subsidiaries of the same state authority. However, some unresolved issues, such as outstanding sales and profit-sharing matters, still needed to be addressed by the Shandong SASAC. The split had immediate market consequences. Weichai Power, once a key supplier to Sinotruk, lost a major client after being cut off in December 2005. This led to a decline in its stock price and reduced engine sales. For Sinotruk, the loss of Weichai engines forced it to invest heavily in its own Zhangqiu Engine Plant, which required a $1 billion investment and a planned production capacity of 30,000 to 50,000 units per year. Meanwhile, Weichai Power expanded its influence by acquiring stakes in other companies, including Hunan Torch and Shaanxi Heavy Duty Truck, forming strategic alliances to challenge Sinotruk’s dominance. Both companies are now building their own independent industrial chains, with Sinotruk aiming to complete its Hong Kong listing through internal integration. The market is witnessing a growing rivalry between the two giants, each seeking to strengthen its position in the heavy truck industry. As they move forward separately, the long-term impact of their split remains uncertain, but the signs of competition are already clear.
